Contract Between Globusgroups and Independent Distributor
This Agreement is made and entered into between:
Globusgroups, a company incorporated under the Companies Act, 1956 and having its Registered Office at [Address] (hereinafter referred to as “Globusgroups”, which expression shall, unless repugnant to the meaning or context hereof, be deemed to include its successors and permitted assigns), of the First Part;
And
The person/entity who has filed the online/offline application form available on the official website of Globusgroups (hereinafter referred to as “Independent Distributor”, which expression shall, unless repugnant to the meaning or context hereof, be deemed to include his/her/their legal heirs, executors, administrators, and assigns), of the Second Part.
Whereas Globusgroups is a registered company under the Companies Act, 1956, and the Independent Distributor is willing to work with Globusgroups in full compliance with the Indian Contract Act, 1872, read with the Tamil Nadu Direct Selling Guidelines Order, 2018 (issued by the Governor of Tamil Nadu vide G.O. Ms. No. 136, Cooperation, Food, and Consumer Protection (H2) dated 1st October 2018) and with the prior concurrence of the Central Government (vide F.No. 21/18/2014-IT (Vol-II), Ministry of Consumer Affairs, Food & Public Distribution, Department of Food & Public Distribution, dated 9th September 2016) on the following terms and conditions:
Terms & Conditions:
- Age and Competency
The Independent Distributor undertakes that he/she/they are 18 years or older, of sound mind, and competent to enter into a contract under the Indian Contract Act, 1872. - Insolvency and Conviction
The Independent Distributor confirms they have not been declared insolvent by any court and have not been convicted by any court of law. - KYC Process
The Independent Distributor agrees that all the information provided, including documentary proof of personal identification and address as per the KYC process on the Globusgroups website, is true and accurate. - Application Acceptance
The Independent Distributor acknowledges that Globusgroups has the right to accept or reject their application at its discretion, especially if the application is incomplete, inaccurate, false, or misleading. - Independent Distributor Relationship
The Independent Distributor acknowledges that this agreement establishes no employer-employee relationship, and does not establish them as an agent, broker, or representative of Globusgroups. - Designation and Profile
The profile and designation of the Independent Distributor shall be awarded as per the Globusgroups Business Plan at its sole discretion. - No Registration Fee
The Independent Distributor confirms that Globusgroups does not charge any registration fee to become an Independent Distributor. - Cooling-Off Period
Globusgroups agrees to allow a cooling-off period of 30 days from the date of purchase or signing the contract to cancel the agreement and receive funds for products purchased, as per the buyback policy. - Buyback/Exchange Policy
Globusgroups agrees to allow the buyback/exchange of products within 30 days of purchase as per its refund policies. - No Bulk Purchases
The Independent Distributor agrees not to compel or induce the Independent Distributor to make bulk purchases. - Exclusivity
The Independent Distributor agrees not to represent, sell, or distribute products or brands from any other direct selling entity during the tenure of this agreement. - Disclosure to Customers
The Independent Distributor agrees to provide full details of Globusgroups and its products to prospective customers when representing the company. - Identification and Visits
The Independent Distributor agrees to carry their Globusgroups identification card and shall not visit a prospective customer’s premises without prior appointment. - Truthful Representation
The Independent Distributor agrees to identify themselves truthfully and clearly represent the Globusgroups’ identity, product nature, and solicitation purpose. - Product Information
The Independent Distributor agrees to provide accurate and complete explanations regarding products, prices, payment terms, buyback policies, guarantees, and after-sales service. - Compensation and Tax Deductions
The Independent Distributor agrees to receive incentives as per the Globusgroups Compensation Plan, after applicable tax deductions as per the Income Tax Act. - Government Taxes
The Independent Distributor agrees to pay all government taxes applicable and shall not hold Globusgroups responsible for the same. - Product Handling
The Independent Distributor agrees not to repack or tamper with Globusgroups product labels at any time. - Marketing Restrictions
The Independent Distributor agrees not to market or sell products or business opportunities through any online portal, website, or forum without prior approval from Globusgroups. - No Misleading Practices
The Independent Distributor agrees not to engage in false, deceptive, or unfair practices, including misrepresentation of sales, earnings, or other advantages related to direct selling. - Factual Representation
The Independent Distributor agrees not to make any unverifiable or unfulfilled promises about sales, earnings, or opportunities related to Globusgroups. - False or Misleading Representations
The Independent Distributor agrees not to make, omit, or engage in any false or misleading representations regarding Globusgroups products or compensation plan. - Training and Literature
The Independent Distributor agrees to only provide literature or training materials approved by Globusgroups. - Product Sales
The Independent Distributor agrees that it is their sole responsibility to sell products, and any risk of loss or damage is transferred to the Independent Distributor immediately after product pickup. - Indemnification
The Independent Distributor agrees to indemnify and hold Globusgroups harmless against any liability, loss, damages, or legal costs arising from their actions. - Confidentiality
The Independent Distributor acknowledges that they will be entrusted with confidential information and agrees not to disclose it to competitors or the public. - Compensation Plan Amendments
Globusgroups reserves the right to change or modify its Independent Distributor Compensation Plan and policies at any time, without prior notice. - Compensation Plan
The Independent Distributor agrees that the Compensation Plan available on the Globusgroups website is the only valid plan followed by the company. - Control and Monitoring
All control and monitoring of practices and methods shall be at the discretion of Globusgroups. - Unique ID and Login
Globusgroups will issue a unique identification number and password to the Independent Distributor, which is non-transferable. - Grievance Redressal
The Independent Distributor agrees to approach the Globusgroups Grievance Redressal Committee within 30 days of dissatisfaction before seeking any other legal remedies. - Termination for Conduct
Globusgroups may terminate the contract with 15 days’ notice if the Independent Distributor’s conduct is found detrimental to the company’s interests. - Non-Performance and Termination
In case of continuous non-performance for 2 years, Globusgroups may issue a termination notice. The Independent Distributor may request a review within 30 days. - Dispute Resolution
All disputes shall be resolved through arbitration under the Indian Arbitration and Conciliation Act, with Chennai, Tamil Nadu as the venue. - Acceptance of Terms
Both parties confirm that they have read, understood, and voluntarily accepted all terms and conditions of the agreement, including the Compensation Plan and refund policies.
